European employee matters in Cross border M&A Transaction: What you should be aware of when doing acquisitions in Europe.

Topics discussed will include:
• Employee Consultation

♦♦♦ Many European jurisdictions have “works councils”, trade unions or other employee consultation bodies with consent, advice or information rights on various topics. A European works council may add another layer of consultation.
♦♦♦ The sale of the target company or business may be subject to consultation and information procedures. So may aspects of acquisition financing. How is the consultation process handled? Which parties are responsible? How does the process fit into the time table? Can injunctions delay the deal? How to deal with confidentiality concerns?

Impact of European labor laws

♦♦♦ European labor laws differ from U.S. labor laws. It can be more difficult, time consuming and costly to reorganize and/or downsize. The transaction itself may not qualify as a legal ground for dismissal. How to deal with restructurings-lay-offs?
♦♦♦ Most European jurisdictions have “transfer of undertaking” rules: employees automatically follow the target business. These employees retain their benefits, which may include stock options and other incentive schemes: how does this work in asset deals? What if the buyer fails to match employment terms or is not able to integrate these in its own employee benefit scheme?
♦♦♦ In respect of pensions, exemptions may apply in the context of transfers of undertaking. How does it work and how to rely on these exemptions in practice?
